Corporate Secretarial Work Scope

Together with the Chair:

  • Setting the board cycle, agenda, and decision-making framework
  • Ensuring the board has the appropriate material to develop company strategy and make decisions
  • Developing the board and sub-committee charters and the company’s delegation of authority for the Board, sub-committees, and executive management
  • Attending Board and sub-committee meetings, taking minutes, and circulating same to board members in a timely manner with the board pack
  • Developing the company’s risk management framework so the board can effectively manage risks
  • Conducting annual board reviews, reviewing and ensuring bye-laws are fit for purpose
  • Managing corporate filings
